These Terms of Use (“Terms”) are between GVB Biopharma and “You”, the person using GVB Biopharma™ products, materials, website and Customer Service Department (“Services”). By using the Services you accept the Terms. GVB Biopharma may at any time revise these Terms of Use by updating this posting. TERMS OF PURCHASE

At the time of purchase, you may have been offered discounts based on the total purchase price for the Service. The Fee for the Service was stated to you at the time of purchase. The Fee is charged to the credit card you provide at the time of purchase.

If you use a credit card, you may be subject to a preauthorization at the time you place your order. The preauthorization is not a charge to the credit card. However, the then applicable Services may be reserved against your available credit card limit, including taxes, if any. Contact your credit card issuing financial institution for details.

MODIFICATION OF SERVICE

GVB Biopharma reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. Upon a request by GVB Biopharma you agree to defend, indemnify, and hold harmless GVB Biopharma and its affiliates, and their employees, contractors, agents, representatives, officers and directors from all liabilities, claims, and expenses, including without limitation attorneys’ fees that arise from your use or misuse of this site. CHOICE OF LAW AND FORUM

These Terms are governed by laws and regulations of the State of Oregon. Any action to enforce or interpret them shall be brought and maintained under the exclusive jurisdiction of the Sherman County Courts. The parties irrevocably submit to the jurisdiction of said courts and waive all objections thereto.

SEVERABILITY AND INTEGRATION

Unless otherwise specified herein, these Terms of Use and the Privacy Policy constitute the entire agreement between you and GVB Biopharma and its Affiliates with respect to this site and the Services and supersedes all prior or contemporaneous communications and proposals (whether oral, written, or electronic) between you and GVB Biopharma with respect to the Services.
